Terms & Conditions (B2B Only)

1. General

These Terms & Conditions apply to all offers, orders, and agreements with:

These Terms apply exclusively to business customers (B2B). Consumers are explicitly excluded.

By placing an order, the customer confirms acceptance of these Terms.

We reserve the right to amend these Terms at any time. Changes do not affect previously accepted orders.

These Terms take precedence over any terms of the customer unless expressly agreed otherwise in writing.

If any provision is invalid or unenforceable, the remaining provisions remain in full force.

2. Orders

Orders may only be placed by legally authorized representatives of a business entity.

Orders are accepted exclusively:

By email

By phone during business hours

Orders are binding and irrevocable once placed.

Quality LEDs BV reserves the right to:

Accept or رفض any order

Limit quantities

Contact the customer if execution is not possible All quotations are non-binding and for informational purposes only.

3. Pricing

All prices:

Are expressed in EUR

Include VAT

Exclude recycling fees, transport, and handling costs

Additional costs will be clearly stated in the order confirmation and invoice.

4. Payment

Payment must be made via bank transfer under the terms stated on the invoice.

Retention of Title

All goods remain the property of Quality LEDs BV until full payment of all outstanding amounts.

Late Payment

In case of late payment:

Interest of 10% per annum applies automatically

A fixed compensation of 10% applies (minimum €125)

Quality LEDs BV reserves the right to:

Suspend deliveries

Recall delivered goods at the customer’s expense

Terminate the agreement

Partial payments are first applied to costs, interest, and oldest outstanding invoices.

5. Delivery

Products are delivered to the address specified by the customer.

Delivery times are indicative only and not binding.

Quality LEDs BV is not liable for delays.

Risk transfers to the customer upon delivery.

Failure to accept delivery within 2 months after the estimated delivery period constitutes a breach of contract.

6. Complaints & Returns

Returns are only accepted with prior written approval.

Complaints must be submitted:

Within 14 days after delivery (visible defects)

Within 14 days after discovery (hidden defects)

Claims for hidden defects must be submitted:

Within 6 months after discovery

And no later than 1 year after the agreement

Products are deemed accepted if no complaint is submitted within these deadlines.

Submitting a complaint does not suspend payment obligations.

7. Warranty

Warranty is strictly limited to the warranty granted by the manufacturer.

Remedies are limited to:

Replacement

Or refund if replacement is not possible

Indicative warranty periods:

Segula / Deko-Light: 2 years

Sheenly: 5 years

No additional warranties are provided unless explicitly agreed in writing.

8. Liability

To the maximum extent permitted by law:

Quality LEDs BV is not liable for indirect, incidental, or consequential damages

Including loss of profit, revenue, contracts, or data

Products are supplied without guarantee of suitability for specific purposes.

Total liability is limited to the invoice value of the relevant products.

9. Force Majeure

Quality LEDs BV is not liable for failure or delay due to circumstances beyond reasonable control.

10. Governing Law & Jurisdiction

All agreements are governed exclusively by Belgian law.

Any disputes fall under the exclusive jurisdiction of the courts of Mechelen, Belgium.
